After working for Andersen as a tax attorney, Elyssa rejoined the firm’s corporate and securities practice.

She advises companies on private placements under the Securities Act, including Rule 506, Regulation S, Regulation A, and Regulation Crowdfunding. Elyssa has been an integral member of the firm’s Reg CF practice where she has assisted issuers with filing over 100 Form C’s through various SEC regulated portals.

Elyssa also advises venture capital firms on formations and compliance. She drafts limited partnership agreements for pooled-investment vehicles under the Investment Company Act of 1940, along with the governance agreements for general partners and investment managers. She also works on filing Form ADVs for the investment managers under the Investment Advisers Act of 1940.
