Startup and Business Counsel
We’ve counseled hundreds of startups and established businesses on formation, fund raising, private placements, securities offerings and compliance, intellectual property protections and employment issues. We’ve recently closed financings upwards of $15M in preferred stock Series A offerings, and have represented tech, medical device, fashion, and scientific research companies.
High Stakes Litigation
We’ve litigated in state and federal courts across the country. We’ve represented the former CFO of Lehman Brothers, a member of the Rockefeller family, and a SEC-registered investment adviser. We’ve also defended public and private companies being investigated by the SEC, FBI, DOJ and state agencies. We’ve litigated against Google in a Lanham Act and deceptive and unfair trade practices claim.
Capital Raises
We represented investors in secondary offerings for Uber, Pinterest and Facebook. We’ve counseled issuers and investors in equity, debt, convertible note and SAFE offerings under Regulation D and S, along with having drafted PPMs for LLCs and LLPs. We’ve represented hedge funds, private equity funds and venture capital funds, and formed over 10 SPVs for a large, global Silicon Valley incubator.
Energy
We’ve counseled investors and funds on upstream and downstream oil and gas investments across the United States and abroad. We’ve advised on acquisition structures both domestically and offshore for minerals, including service providers and extraction best practices.
Intellectual Property
We manage client’s IP portfolios, including for our FinTech clients. Whether by trademark, copyright or trade secret protection, we’ll organize, protect and enforce your IP rights. We’ve done that for a Bitcoin pioneer, a public performance rights organization, and other startup and mature companies.
Employment
We’ve advised founders, executives, directors and employees on employment matters and equity compensation. We’ve drafted employment agreement, proprietary information and inventions agreements, consulting contracts and compensation agreements.
